TERMS AND CONDITIONS
1. INTRODUCTION
These General Terms and Conditions govern the use of Legal Entity Identifier (LEI) registration, renewal, and management services provided by Lei Universal OÜ (hereinafter “Lei Universal”; LEI 9845004C4F3FC645AC20). Lei Universal operates as an LEI Registration Agent. To provide these services, we collaborate with the accredited Local Operating Unit (LOU) Ubisecure Oy (RapidLEI; LEI 529900T8BM49AURSDO55). By using our services, the Applicant fully agrees to these terms.
2. SERVICES
2.1. To initiate the registration, renewal, or transfer of an LEI, the Applicant must complete the relevant application form. By submitting the form, the Applicant confirms acceptance of these terms, the accuracy of the data provided, and their authority to represent the legal entity.
2.2. The Applicant understands that their contact details may be shared with the respective LOU.
2.3. The Applicant authorises Lei Universal to sign the LOU’s terms and conditions on their behalf (available [here]).
2.4. The Applicant grants Lei Universal full authorisation to manage the LEI, including application, renewal, and transfer processes.
2.5. In the case of an LEI transfer, the Applicant understands this may involve a change of LOU. If the LEI is not currently managed by Lei Universal, it must be transferred to our management before a renewal can be completed.
2.6. Lei Universal will begin processing the application once payment has been received according to the selected package.
2.7. LEI renewal can be initiated no earlier than 60 days before the expiry date. If a transfer/renewal is requested for an LEI managed by another provider more than 60 days before expiry, the remaining renewal period may be shortened accordingly.
2.8. The Applicant may be required to provide a Letter of Authorisation (LoA), power of attorney, or other documentation proving their right to apply for an LEI on behalf of the entity.
2.9. If the entity has a parent company that consolidates financial statements, Level 2 (Parent) data must be provided. If parent data cannot be provided, a valid reason must be stated. Lei Universal may request additional documents to verify consolidation.
2.10. Lei Universal and the LOU will make reasonable efforts to complete the application. If registration, renewal, or transfer cannot be completed due to insufficient data from the Applicant, Lei Universal and the LOU shall not be held liable for any resulting damages.
2.11. Upon completion of the process, a confirmation and invoice will be sent to the email address provided in the application.
2.12. Applications are final once submitted and terms are accepted. Refunds will not be issued once processing has begun.
2.13. Once issued, the LEI and associated data will be published on the GLEIF website. An LEI cannot be deleted or transferred to another legal entity.
2.14. Lei Universal will send a renewal reminder 60 days before the LEI expires.
3. FEES AND PAYMENT
3.1. Fees for LEI registration and renewal are displayed on the Lei Universal website. Lei Universal reserves the right to change these fees at any time.
3.2. Payment must be made according to the terms specified on the website. Lei Universal reserves the right to suspend processing if payment is not received.
3.3. The mandatory GLEIF fee is included in the total service price.
3.4 Prices are shown with 0% VAT. 0% VAT applies to the export of services to legal entities registered outside the European Union.
3.5. Priority processing and Level 2 data management may be subject to additional fees.
3.6. Validation of Level 2 data (Parent structure) is priced at £10 per year per parent entity.
4. REFUNDS
4.1. The client has the right to request a refund according to these terms. To request a refund, please email info@leiuniversal.co.uk.
4.2. Refund requests are processed within 7 working days. Depending on the bank or payment provider, it may take up to 30 days for funds to reach the client’s account.
4.3. Lei Universal OÜ reserves the right to apply a handling fee of £20 for each successful refund. This fee will be deducted from the total refund amount.
4.4. Refunds are not available in the following cases:
The LEI application has been confirmed by the client and processing has started.
The LEI renewal process is complete.
The client requests a refund for a multi-year package after the service has commenced.
The client transfers the LEI to another provider before the prepaid period ends.
The LEI cannot be issued or renewed due to client inaction (e.g., failure to provide required documents within 60 days).
Other cases defined by the GLEIF RA Governance Framework.
4.5. Lei Universal OÜ follows the Global Legal Entity Identifier Foundation (GLEIF) RA Governance Framework guidelines regarding refunds.
5. GOVERNING LAW AND JURISDICTION
5.1 These terms and any disputes arising from them (including non-contractual disputes) shall be governed by and construed in accordance with the laws of the Republic of Estonia.
5.2. The parties agree that the courts of the Republic of Estonia shall have jurisdiction to settle any dispute or claim.
6. LIMITATION OF LIABILITY
6.1. Lei Universal will make all reasonable efforts to obtain the LEI for the Applicant.
6.2. Lei Universal shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or data arising from the use of the services.
7. FINAL PROVISIONS
7.1 Lei Universal reserves the right to amend these terms at any time. Amendments become effective immediately upon publication on the website.
7.2 Disputes between the Applicant and Lei Universal shall first be sought to be resolved through negotiation.
